TERMS &
CONDITIONS.

1. DEFINITIONS

• "QuickShop" refers to QuickShop Technologies Private Limited, its employees, directors, and agents.
• "Service" refers to the QuickShop e-commerce platform, website, dashboard, APIs, and all related tools.
• "Merchant" or "You" refers to any individual or entity that creates a QuickShop account.
• "Store" refers to the online storefront created and operated by a Merchant using the Service.
• "Customer" refers to a person who makes a purchase from a Merchant's Store.
• "Content" refers to text, images, videos, product descriptions, and other material uploaded by Merchants.

2. ACCOUNT REGISTRATION

• You must be at least 18 years of age to create a QuickShop account.
• You must provide accurate, complete, and current registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• QuickShop reserves the right to refuse registration or terminate accounts at its discretion.
• One person or entity may not maintain more than one free trial account.

3. SUBSCRIPTIONS AND PAYMENTS

3.1 Subscription Plans

QuickShop offers monthly subscription plans as detailed on our Pricing page. All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless otherwise stated.

3.2 Billing

Subscriptions are billed monthly in advance on the anniversary of your sign-up date. Payments are processed via Razorpay. By subscribing, you authorise QuickShop to charge your payment method on a recurring basis.

3.3 Late Payment

If a payment fails, we will attempt to retry the charge for up to 7 days. If payment is not received within this grace period, your account may be suspended. Suspended accounts retain data for 30 days.

3.4 Taxes

GST at the applicable rate is charged on all subscription fees. QuickShop will issue GST-compliant invoices for all payments. You are responsible for any other taxes applicable in your jurisdiction.

4. ACCEPTABLE USE

You agree not to use the Service to:

• Sell counterfeit, stolen, or illegal products.
• List or sell products that are banned or restricted under Indian law.
• Engage in fraudulent transactions or chargebacks.
• Distribute malware, spam, or phishing content.
• Violate intellectual property rights of any third party.
• Engage in any activity that could harm, overload, or interfere with our infrastructure.
• Collect or harvest personal data of Customers without their consent.
• Impersonate another person or entity.
• List adult content, weapons, narcotics, or any item prohibited under applicable law.

Violations of this section may result in immediate account termination without refund.

5. MERCHANT RESPONSIBILITIES

As a Merchant using QuickShop, you are solely responsible for:

• The accuracy of your product listings, pricing, and descriptions.
• Fulfilment of orders placed by your Customers.
• Handling Customer complaints, returns, and refunds for your products.
• Compliance with all applicable laws, including consumer protection laws, GST, import/export regulations, and food safety standards (if applicable).
• Obtaining all necessary licences, permits, and approvals to sell your products.
• Maintaining adequate product liability insurance where applicable.

QuickShop is a platform provider. We are not a party to any transaction between you and your Customers and bear no liability for such transactions.

6. INTELLECTUAL PROPERTY

6.1 QuickShop IP

The QuickShop platform, including its software, design, trademarks, and content, is the exclusive property of QuickShop Technologies Pvt. Ltd. You may not copy, modify, reverse-engineer, or distribute any part of the Service without our express written permission.

6.2 Merchant Content

You retain ownership of all Content you upload to your Store. By uploading Content, you grant QuickShop a non-exclusive, royalty-free licence to host, display, and distribute your Content solely for the purpose of operating the Service.

You represent that you have all necessary rights to your Content and that it does not infringe the intellectual property rights of any third party.

7. SERVICE AVAILABILITY & UPTIME

QuickShop targets 99.9% uptime but does not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

• Scheduled maintenance (communicated in advance).
• Unplanned outages caused by infrastructure failures, cyberattacks, or other events beyond our control.
• Force majeure events (see Section 12).

QuickShop is not liable for losses incurred due to service unavailability, to the maximum extent permitted by law.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

• QuickShop's total liability to you shall not exceed the amount you paid to QuickShop in the 3 months preceding the claim.
• QuickShop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue.
• QuickShop is not responsible for the acts or omissions of third-party services integrated with our platform (including payment processors and courier partners).

9. INDEMNIFICATION

You agree to indemnify and hold harmless QuickShop, its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including legal fees) arising from:

• Your use of the Service.
• Your Content or products sold through your Store.
• Your violation of these Terms.
• Any dispute between you and a Customer.

10. TERMINATION

Either party may terminate the agreement at any time. You may cancel as described in our Cancellation Policy. QuickShop may terminate your account with 30 days notice without cause, or immediately for cause (Terms violations, fraud, etc.).

Upon termination, your right to use the Service ceases. Data retention and export provisions are as described in our Cancellation Policy.

11. CHANGES TO TERMS

We may update these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after that date constitutes acceptance. If you disagree with any changes, you may cancel your subscription before they take effect.

12. FORCE MAJEURE

QuickShop shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, government actions, internet outages, or pandemic.

13. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of India. Any disputes arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
